Arafura Data provides business intelligence, data analytics, dashboard development, predictive analytics, feasibility studies, and related consultancy services. Specific services will be detailed in a written proposal, statement of work, or service agreement.
3. Fees and Payment

Fees for services will be outlined in an agreed proposal or contract.

Invoices will be issued as per the agreed schedule and must be paid within 14 days of issuance.

Late payments may incur interest at 6% per annum from the due date until payment is received.

All fees are inclusive of GST unless otherwise stated.
4. Confidentiality and Data Security

We will treat all client data and business information as strictly confidential and use it solely for the agreed services.

Both parties agree not to disclose any confidential information to third parties without written consent, except as required by law.

Arafura Data implements industry-standard security measures to protect your data but is not liable for breaches beyond our control.
5. Intellectual Property

Clients retain ownership of their raw data.

Arafura Data retains intellectual property rights over proprietary methodologies, templates, and analytical models used.

Deliverables specifically created for you will be owned by you upon full payment, unless otherwise agreed in writing.
6. Liability and Disclaimers

We will use reasonable skill and care in delivering our services, but we do not guarantee specific business outcomes.

Arafura Data is not liable for any indirect, consequential, or special damages arising from the use of our services.

Our total liability, whether in contract, tort, or otherwise, is limited to the total fees paid for the service in question.
7. Termination

Either party may terminate an agreement with 30 days written notice.

If terminated before completion, fees will be payable for work completed up to the termination date.

We reserve the right to suspend or terminate services if payments are overdue or if you violate these Terms.
8. Force Majeure
Neither party will be liable for failure or delay in performance due to causes beyond their reasonable control, including but not limited to acts of God, pandemics, government actions, or technical failures.
9. Dispute Resolution

Both parties agree to attempt to resolve disputes amicably through negotiation.

If a dispute cannot be resolved within 30 days, either party may seek mediation before pursuing legal action.
10. Change Requests

Any changes to the agreed scope of work must be requested in writing.

Changes may impact timelines, fees, or deliverables, which will be documented in an updated agreement.
11. Client Responsibilities

You agree to provide all necessary data, access, and cooperation required for service delivery.

Delays in providing information may impact project timelines and costs.
12. Subcontracting

Arafura Data may engage subcontractors to assist in service delivery where appropriate.

We remain responsible for ensuring subcontracted work meets the agreed standards.
13. Data Retention and Deletion

Client data will be retained for 30 days after project completion unless otherwise agreed.

After this period, data will be securely deleted unless retention is required by law.
14. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of Northern Territory, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of the Northern Territory.
15. General

These Terms may be updated from time to time, and the latest version will be available on our website.

If any provision is deemed unenforceable, the remaining Terms remain valid.

No waiver of any term shall be deemed a further or continuing waiver.
16. Insurance

Arafura Data maintains Professional Indemnity Insurance and Business Insurance to cover potential liabilities arising from our services.

We also hold Public Liability Insurance to cover third-party risks.
